The primary aim of this book is to fulfill the needs of students in University Technology MARA who are taking Introduction to Partnership and Company Law course which is offered in the Program of Diploma and Bachelor in Accountancy.

This book is based on the syllabus of LAW 346 - Introduction to Partnership and Company Law. First, it explains the principles of Partnership Law as contained in the provisions of the Partnership Act 1961. This is covered in the first five chapters in Part A. Part B consists of chapter six to twelve which discuss the basic principles of Company Law as provided in the new Malaysian Companies Act 2016 (CA 2016) which was passed by the Parliament and gazetted in September 2016. The enforcement of the CA 2016 will take effect stage by stage starting 31st January 2017. The CA 2016 was enacted to replace the previous Act i.e. the Companies Act 1965 which had been applied for more than 50 years. Among the aims of the CA 2016 are to provide a regulatory framework to facilitate starting a business as well as reducing the cost of doing business. It is also to enhance internal control, provides flexibility in managing the company’s affairs and simplify the compliance procedure. The book also includes discussions on local as well as common law cases. This second edition also includes the topic of Limited Liability Partnership (LLP) in Part C of this book. It is written simply to help readers to understand the basic principles of law relating to Partnership, Company and LLP.

It is hoped that this book will also be a valuable aid to students either law or non-law students studying in various local universities. Practitioners and those who want to start a business in Malaysia may also find this book a valuable reference.


Instructor Biography

Salmiah Salleh is presently a senior lecturer at the University Technology MARA, Alor Gajah Campus, Melaka. She obtained her Degree in Law, LL.B (Hons) from International Islamic University Malaysia (UIAM) in 1988 and her Master in Law, LL.M, from University of Edinburgh, Scotland, United Kingdom in 1997.

Salmiah Salleh has been teaching law mainly on Partnership and Company Law as well as Business Law for the past 28 years in various programmes such as accountancy and business studies at degree and diploma level at the same University. On top of this book, she is also the co-author of another book published by UPENA  (University Publication Centre), UiTM entitled  Law of Contract and Agency: Question and Suggested Solutions.

She has also presented several papers at conferences and Seminars and has published several researched articles in proceedings and journals such as The Shariah Law Reports and The Journal of Administrative Science.
